Terms of Service
These Terms of Service govern your access to and use of the RevReels website, applications, and services.
Effective Date: June 2, 2026
Introduction
These Terms of Service ("Terms") govern your access to and use of the RevReels website, applications, and services (collectively, the "Service"). The Service is operated by xAutomations (pending incorporation) ("xAutomations," "RevReels," "we," "us," "our").
By accessing or using the Service, you agree to these Terms. If you do not agree, do not use the Service.
1) Eligibility and Account Authority
You must be at least 18 years old (or the age of majority where you live) and able to form a binding contract.
If you use the Service on behalf of a business, organization, or brokerage, you represent and warrant that you have authority to bind that entity to these Terms, and "you" includes that entity.
2) Accounts, Security, and Responsibility
You may need an account to use the Service. You agree to provide accurate information and keep it updated.
You are responsible for:
- maintaining the confidentiality of your login credentials; and
- all activity that occurs under your account (whether or not authorized by you).
If you believe your account has been compromised, notify us immediately at [email protected] (or, if available in the app, through support channels).
3) The Service
RevReels enables users to upload images (for example, real estate listing photos) and generate video clips and compiled videos using automated tools, including AI. The Service may include features such as timeline editing, beat-synced music, branding overlays, and exports in multiple aspect ratios.
We may modify, add, or remove features at any time, including introducing limits, changing supported formats, or adjusting how the Service operates.
3.1 Service Limits and Fair Use
We may implement reasonable technical or usage limits to maintain service stability, performance, and fairness across users. These limits may include limits on rendering frequency, storage duration, concurrent processing, or other compute-intensive actions.
We may modify these limits at any time.
4) Credits, Purchases, and Billing
4.1 Credits Defined
RevReels uses a credit-based system. One (1) credit equals one (1) image-to-video clip generation (a "Clip").
A "project" may contain multiple Clips and may be compiled into one or more downloadable videos. Unless otherwise stated in the Service, actions such as reordering clips, changing music, adding text/logos, re-rendering a compiled video, and exporting in multiple aspect ratios generally do not consume additional credits.
4.2 Purchasing Credits
You may purchase credits through our authorized payment processor(s) (for example, Paddle) or any other payment method we enable. Prices and bundles are displayed at checkout and/or inside the Service.
4.3 Subscription Plans and Pay-As-You-Go Credits
RevReels may offer subscription plans that include recurring credit allocations and may also offer the ability to purchase credits on a one-time basis.
Subscription terms, billing cycles, included credits, rollover rules (if applicable), and pricing will be displayed at checkout or within the Service. Subscription fees are billed in advance on a recurring basis unless canceled prior to the renewal date.
Credits purchased through subscriptions or one-time purchases are subject to these Terms.
4.4 Credits Never Expire While Your Account Exists
Credits are sticky and do not expire while your account remains active and in good standing. Credits remain available until used, as long as your account exists.
4.5 Account Deletion and Credits
Credits do not expire while your account remains active and in good standing, unless otherwise required by law or explicitly disclosed at the time of purchase.
4.6 No Refunds
All payments for credits and subscriptions are processed by Paddle, our authorized payment processor and merchant of record. Refund requests are handled in accordance with Paddle's Refund Policy, available at https://www.paddle.com/legal/refund-policy.
Paddle may issue a refund at its discretion if a request is submitted within 14 days of the transaction date. Refund requests are reviewed on a case-by-case basis and submission of a request does not guarantee a refund.
Buyers in certain regions may have statutory withdrawal or cancellation rights that provide additional protections. These country-specific rights are detailed in Paddle's Refund Policy and Paddle's Buyer Terms, available at https://www.paddle.com/legal/buyer-terms. Where statutory rights apply, they take precedence.
To request a refund, visit https://paddle.net or use the receipt link in your purchase confirmation email.
If a refund is issued, RevReels will revoke credits and access associated with the refunded transaction. Any Outputs generated using refunded credits may no longer be available.
4.7 Taxes
Prices may exclude taxes unless otherwise stated. You are responsible for any applicable taxes, duties, or government assessments.
4.8 No Cash Value; Non-Transferable
Credits have no cash value, are non-transferable, and may not be resold. Credits are licensed for use only within the Service.
4.9 Chargebacks and Payment Disputes
If you initiate a chargeback or payment dispute, we may suspend your account and access to the Service while we investigate. We may revoke credits associated with disputed transactions to the extent permitted by law.
4.10 Clip Regeneration Policy
Each generated Clip may include one (1) free regeneration where available. Additional regenerations may require additional credits as displayed within the Service.
Edits that do not require generating a new Clip - including timeline edits, music changes, branding updates, or final video re-renders - generally do not consume credits unless otherwise stated in the Service.
5) Your Content (Uploads) and Permissions
5.1 Your Uploads
"User Content" means any content you upload or submit to the Service, including images, branding assets, logos, and text.
You retain ownership of your User Content. However, you grant us a limited, worldwide, non-exclusive, royalty-free license to host, store, process, reproduce, and display your User Content solely to:
- provide the Service (including generating Clips and Outputs);
- maintain and secure the Service;
- troubleshoot, prevent abuse, and enforce these Terms; and
- comply with legal obligations.
5.2 Rights You Must Have
You represent and warrant that you have all rights, permissions, and consents necessary to upload and use your User Content and to grant the license above. This includes permissions from photographers, property owners, brokerages, or other rights holders where required.
5.3 Prohibited Sensitive Content
Do not upload content that includes sensitive personal data (for example, government IDs, financial account data, or private medical information) or any content you do not have the right to share.
6) Generated Content (Outputs), Ownership, and AI-Related Disclosures
6.1 Outputs
"Output" means Clips, compiled videos, and other generated media created by the Service based on your User Content and settings.
As between you and us, and to the extent permitted by law, you own the Output you generate, subject to:
- any third-party rights in the User Content you provided; and
- any third-party materials you include or select (for example, music or fonts), which may be subject to separate licenses and restrictions.
6.2 Similarity and Non-Infringement Disclaimer
Due to the nature of automated generation, Output may be similar to content generated for other users. We do not guarantee Output is unique, non-infringing, or suitable for any specific purpose. You are responsible for ensuring your use of Output complies with applicable law, advertising rules, MLS rules, and third-party platform rules.
You are solely responsible for reviewing and approving Outputs before using them in marketing, advertising, or public distribution.
6.3 Third-Party AI Providers and Training Uncertainty
To provide the Service, we may use third-party APIs and infrastructure providers. While we do not currently plan to use your User Content or Output to train our own general-purpose AI models, we cannot guarantee that third-party providers will not use submitted data for their own service improvement, model training, or similar purposes under their terms.
By using the Service, you acknowledge and accept that:
- your User Content and/or Output may be processed by third-party providers; and
- those providers' policies and terms may permit certain uses beyond our direct control.
If you require strict guarantees regarding model training or data usage by third parties, you should not upload content to the Service.
7) Storage, Retention, and Deletion
7.1 Retention After Account Deletion
If you delete your account, or if we terminate it, we may retain your User Content and Output for up to 90 days after deletion for operational, backup, legal, and dispute-resolution purposes. After that period, we may delete your data, subject to legal obligations and technical limitations.
7.2 Storage Limits and Output Deletion on Active Accounts
To manage storage and operating costs, we may delete or remove access to Outputs (including rendered videos) after a period of time even if your account remains active, and we may implement storage limits per account or per project.
You are responsible for downloading and backing up any Outputs you wish to keep. Credits remain available as described in Section 4, but long-term storage or hosting of Outputs is not guaranteed.
8) Acceptable Use
You agree not to use the Service to:
- violate any law or regulation (including consumer protection and real estate advertising rules);
- infringe, misappropriate, or violate intellectual property, privacy, publicity, or other rights;
- upload content you do not have rights to use (including copyrighted photos, music, logos, or trademarks);
- create or distribute deceptive content, including misrepresenting a property's features or creating misleading media intended to deceive viewers;
- create, post, or distribute content that is defamatory, harassing, hateful, or invasive of privacy;
- attempt to bypass security, probe vulnerabilities, scrape the Service, reverse engineer, or interfere with the Service;
- use automated means to access the Service in a way that imposes unreasonable load; or
- introduce malware or harmful code.
We may suspend or terminate accounts for violations or suspected violations.
9) Third-Party Services and Content
The Service may integrate with or allow exports to third-party platforms (for example, social networks). Your use of third-party services is governed by their terms and policies, and we are not responsible for third-party services.
If the Service includes music or other assets, those may be licensed for use only as part of the Service and may be subject to additional restrictions. You are responsible for ensuring your use of third-party content is permitted for your intended use.
10) Our Intellectual Property
We and our licensors own all rights in the Service, including software, designs, and trademarks, excluding User Content and Output as described in Section 6. You may not copy, modify, distribute, sell, lease, or create derivative works from any part of the Service unless we expressly permit it in writing.
11) Feedback
If you provide feedback, suggestions, or ideas, you grant us the right to use them without restriction or compensation.
12) Suspension and Termination
You may stop using the Service at any time.
We may suspend or terminate your access (and/or delete your account) if we reasonably believe:
- you violated these Terms;
- your use poses a risk to the Service, other users, or third parties;
- we must do so to comply with law; or
- your account is associated with fraud, chargebacks, or abuse.
Upon termination, your right to use the Service ends, and credits are handled as described in Section 4.5.
13) Disclaimers
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE." TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
We do not guarantee that the Service will be uninterrupted, error-free, or that generated Output will meet your requirements, be compliant with third-party platform rules, MLS rules, or legal regulations.
14) Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, xAUTOMATIONS/REVREELS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THE SERVICE WILL NOT EXCEED THE GREATER OF:
- (A) THE AMOUNT YOU PAID TO US IN THE THREE (3) MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM; OR
- (B) US $100.
Some jurisdictions do not allow certain limitations, so these limits may not apply to you.
15) Indemnification
You agree to indemnify and hold harmless xAutomations/RevReels from any claims, damages, liabilities, losses, and expenses (including reasonable attorneys' fees) arising out of or related to:
- your User Content;
- your use of the Service;
- your violation of these Terms; or
- your violation of any law or third-party rights.
16) Copyright Complaints (DMCA-Style Notice)
If you believe content on the Service infringes your copyright, email [email protected] with:
- identification of the copyrighted work;
- identification of the allegedly infringing material (with sufficient detail for us to locate it);
- your contact information;
- a statement that you have a good-faith belief the use is not authorized; and
- a statement under penalty of perjury that the information is accurate and you are authorized to act.
We may remove or disable access to allegedly infringing material and may terminate repeat infringers. If you believe content was removed in error, you may submit a counter-notice.
17) Governing Law and Disputes
These Terms and any dispute arising out of or relating to the Service will be governed by the laws of England and Wales, excluding its conflict of laws rules.
If you are a consumer resident in the EU/EEA, nothing in this section limits your right to bring claims in the courts of your country of residence or your mandatory consumer protection rights under applicable law.
You agree that any legal action or proceeding (unless mandatory local consumer law provides otherwise) will be brought in the courts located in London, England.
18) Changes to These Terms
We may update these Terms from time to time. If changes are material, we will provide notice (for example, by posting within the Service or by email). Continued use of the Service after the effective date of updated Terms constitutes acceptance.
